State of Michigan - The Limited Liability Company Act and the Corporation Act allow for converting one business entity into another. Currently, no document exists to convert a corporation into a limited liability company. Each individual that wishes to convert one business organization into another type of business organization would need to draft their own Certificate of Conversion that conforms to the applicable statutes. In addition, the formation documents are required to be submitted with the Certificate of Conversion. Each statute in their prospective Acts provides for the fees to file the documents.
