  • To start an intrastate business in the state of California, the business must be first qualified or registered with the California Secretary of State.

How to file a Certificate of Qualification California?

  • Ensure the name availability of the entity you are going to register
  • You have to obtain a certificate of good standing or certificate of status of your existing entity to make sure that your Corporation or LLC is legally registered and in a good standing

  • For California Foreign Corporations:File a Statement and Designation by Foreign Corporation along with a valid certificate of good standing of the home state corporation.

  • For Foreign Limited Partnership: Submit Form LP–5 along with the valid certificate of status of the home state.
  • To incorporate Foreign Limited Liability Partnership: File a Form LLP-1 along with a valid certificate of existence of your home state.
