Purpose of Registering Out of State Entity in Florida?

 Business entities are registered out of state or country intend to transact business in the state of Florida are required to register a foreign entity with the Florida Department of State Division of Corporations.

How to Apply Foreign Limited Liability Company or Foreign Corporation in Florida? 

 

  • Certificate of existence, no more than 90 days old, duly authenticated by the official having custody of records in the jurisdiction under the law of which it is organized. If the certificate is in a foreign language, a translation of the certificate under oath of the translator must be submitted.
  • The name of the entity must be distinguishable on the records of the Florida Department of State. If the name of your entity is not distinguishable on our records, you must adopt an alternative name to use in the state of Florida.
  • The name of the entity in the state of Florida must contain the words LLC, Limited Liability Company, L.L.C, Inc, Incorporated, Incorporation, Corporation or check with the State.
  • A preliminary search for name availability can be made on the Internet through the Division’s records at www.sunbiz.org. Preliminary name searches and name reservations are no longer available from the Division of Corporations. You are
    responsible for any name infringement that may result from your name selection.
  • The state of Florida does not reserve a company name.
  • File an application Foreign Limited Liability Company or Application of Foreign Profit Corporation for authorization to start an out-of-state entity in Florida.

How long does the state of Florida take to process the foreign entity application in Florida?

The state of Florida takes seven to ten working days to register an out-of-state entity Florida, and the state of Florida does not accept foreign entity applications electronically. You have to send it by mail.

Yearly Maintenance to maintain a branch office in Florida: 

  •  All Foreign Entities must file an Annual Report yearly to maintain “active” status. The first report is due in the year following formation. The report must be filed electronically online between January 1st and May 1st.
  • You will withdraw foreign entity, if you are no longer in business.

Can you File  Foreign Entity as a Non Resident?

You can incorporate a company with the Florida Department of State Division of Corporations as a Non US Resident without having a social security number.

Filing Taxes with Internal Revenue Service and Florida Department of Revenue:

 Evern thought, you are an out-of-state business, but still you are responsible to file foreign entity tax returns with the Internal Revenue services, State tax returns with the Florida Department of revenue if applicable, Sales and Use Tax Returns with the Florida Department of Revenue (If applicable), Payroll taxes (if applicable).

You can consult with your CPA the deadlines to file taxes of your entity.

Opening Business Bank Account:

 You should open a business account to maintain your business activities.

 Do I need business license to Start my Foreign Entity in Florida?  

 You can contact with the Florida Department of Revenue and Department of Business and Professional Regulation (DBPR) for the licensing requirement. The basic types of licensing or registration in Florida are highlighted below.

  • Florida Sales and Use Tax License
  • You may have to register to withhold your employee(s) taxes if applicable
  • License for cosmetologists, veterinarians, real estate agents and pari-mutuel wagering facilities.

 A request to retrieve Filed Documents:

 You can always request to the state to retrieve a duplicate copy of your filed documents. 

 Workers Compensation and Disability Insurance:
