  •  To register a foreign corporation, you have to complete Form "foreign corporation application for registration".
  • To register a foreign limited liability company, you have to complete Form "Foreign Limited Liability Company Application for Registration".

How to apply a foreign qualification in Alabama?

  • You have to obtain a name reservation certificate from the Alabama Secretary of state to make sure the name is available, prior to submit foreign corporation application for registration.
  • State of Alabama generally takes two weeks to process your foreign qualification application to transact business in the other state.
  • Articles or certificate of incorporation and all amendments duly certified by the Secretary of State or other official having custody of corporate records in the state or other jurisdiction under whose law it is incorporated. Certificates of status, existence and good standing are unacceptable.
  • The Alabama secretary of state may deny your request to open a branch office in Alabam, if your company is inactive or not in a good standing.

Other requirements for the foreign entity

  • You will use the existing EIN
  • You have to obtain business licenses if applicable, in the state of Alabama as per your business requirements.
  • File an annual report on time to conduct business in Alabama.
  • You will use the same business structure to start an out of state business.
