How to register a business name in Rhode Island as a Corporation?

Meaning of Rhode Island corporation

Form of business, which has separate legal entity status from its owners. The owners called its members. Ownership is represented by shares stock. Ownership can be transferred very easily. Members also enjoy the limited liability for the debts and obligation of the corporation. Directors are elected on merit to transact the business.

Name availability and Name Reservation of RI corporation

It is recommended to check name availability before deciding a name for your corporation. You may check name availability online. The name must include “corporation,” “company,” “incorporated,” “limited,” or one of these abbreviations “inc.,” “co.,” “corp.,” or “ltd.”

Upon availability you may reserve the name for future use by filling the form and prescribed fee.

Prepare and file Articles of Incorporation of Rhode Island Corporation

You may file online or paper application for registration of a business

  • Name:Provide the name reserved for the corporation
  • Authorized share stock:  Provide numbers and value of authorized share stock. Provide at least one share.
  • Registered agent and registered Address: A person or business entity located in Rhode Island can be appointed as a registered agent. To provide its name and complete street address.
  • Incorporators’ name: address and sign: Provide name, address and signature of all incorporators. On Rhode island at least one incorporator is required to register a business.

Filling with Rhode Island Department of revenue

Every “C” corporation for federal tax purposes shall be required to file Form RI-1120C and pay the greater of the business corporation tax or the franchise tax.

For corporation tax, partnership and individual income tax returns there is no registration requirement. The filing of the first return is sufficient notice to establish an account.

If reporting on a W-4 or its equivalent records are to be sent no later than fourteen (14) days after hire or rehire, and twice a month if reporting electronically or magnetically.

Conversion into S Corporation of RI corporation

You may elect to adopt another tax filling option to by pass the taxation with internal revenue service to convert into S-Corporation.
