How to register a business name in Connecticut as a corporation?

What is Connecticut Corporation?

A business set chartered by the Connecticut state to operate legal activities referred as Connecticut Corporation. Connecticut Corporation has distinct separate legal entity from its owner. It can sue or be sued by its own name.

Who can set up a Connecticut Corporation?

Any individual or group of individual can setup a Connecticut Corporation.

How to start a Connecticut Corporation?

Incorporator (s)

Incorporator (s) is the person who brings the idea to corporate with a certain purpose. No corporation can be formed without any incorporators. You have to provide name, address and signature of all incorporator in the articles of incorporation. At least one person as an incorporator is required to form a Connecticut Corporation.

Name of the Connecticut Corporation

The name of the Connecticut Corporation must not be identical with already registered entities in Connecticut.  The name of the corporation must contain one of the following designations: "corporation", "incorporated", "company" "Societa per Azioni", or "limited", or the abbreviation of these words.

You may check name availability online and upon availability you can reserve it for 120 days by filling name reservation form with assigned fee.

Authorized share capital

Authorized share capital means that the corporation can issue share up to this limit. Please check fee for authorized limit because State fee vary with respect to number of authorized share. Further you may also decide different classes of share with or without par value.

Appointment of Registered Agent in Connecticut

Registered agent may be a natural person resident of Connecticut or any registered business entity with Connecticut State and having certificate to transect business in Connecticut. Corporation cannot declare itself as a registered agent in Connecticut.

You have to provide name, address and consent to act as a registered agent of the corporation in certificate of incorporation.

Execution by Incorporator (s)

The form must be executed by all incorporators and provide addresses of all incorporators containing a street and number, city, state and a postal code. The execution constitutes legal statement under the penalties of false statement that the information provided in the document is true.

Filling of document with the Connecticut state

You may file online or through mail or in person with the Connecticut State along with the prescribed fee. State may take one working day to approve the article.

Other obligatory requirements for Connecticut Corporation

  • Apply for employer identification number (EIN) with internal Revenue service (IRS)
  • Apply for Connecticut tax registration number with Department of Revenue
  • For occupational and trade licenses apply with Connecticut department of consumer protection
  • Permits for conduct certain types of business apply with The Connecticut Department of Energy and Environmental Protection
  • Connecticut State required for certain entities to register with Connecticut Department of Labor
  • For business trademark registrations (Within the State) apply with Connecticut State secretary. you may apply with US patent & Trademark Office for registration at federal level


Organization and First Report of the Connecticut Corporation

An organization and first report form will also be submitted along with the certificate of incorporation along with the designated fee. You have to provide following information in this form

  • Name of Corporation
  • Date of Organization Meeting
  • Address of principal Office
  • Mailing Address of the Connecticut corporation
  • Particulars of the officer and directors of the Connecticut corporation

Filing Connecticut Annual report

Every corporation has to file annual report with the Connecticut State Secretary every year to remain with good standing. Further filling of annual report must be done online. Following are the main contents of the annual report

Assumed or Fictitious Name Under Corporation

Connecticut Corporation may adopt any one or more assumed or fictitious name to conduct its operation after checking its availability and registration with applicable fee with the Connecticut Secretary of State.

Connecticut Certificate of Good Standing

Good standing means that the corporation is complying with all statuary requirements. You may apply for certificate of good standing along with the prescribed fee.

Conversion of  Connecticut S Corporation

You may elect to convert into S-corporation with the internal revenue service (IRS) for alternate tax structure.

Reinstatement of inactive corporation

You may apply with Connecticut secretary after filing of annual report, prescribed fee and clearance of any other objection.
