What is a business entity merger in Alabama?

Certificate of mergers is filed when one or more companies decide to work together to expand business or other reason. State of Alabama allows both domestic and foreign entities for the mergers.

You can file a merger for the following business entities.

  • Corporations
  • Corporations Limited Partnerships
  • Limited Liability Companies
  • General Partnerships
  • Real Estate Investment Trusts
  • and others (Consult with the attorney or a Certified Public Accountant)

What is the process to merge business entities?

  • Fill out the certificate of merger form to merge your business entity.
  • Submit a business name for the reservation.
  • The standard filing fee is $100.00 and the expedites filing fee is $200.00 to file a merger of each business entity with the Alabama secretary of state.
  • Provide information about surviving entity.
  • Provide information about dying business entity.
  • The surviving business entity is a Alabama domestic entity, which is not registered or is not required to register.This will result in all merging entities merging out of existence and no surviving entity registered to do business in Alabama.
  • The surviving entity is a foreign entity which is not registered and therefore not qualified to do business in Alabama. This will result in all merging entities merging out of existence and no surviving entity registered to do business in Alabama.

Merger of a foreign entity

In order to change the registration of a foreign or an out-of-state entity to reflect a merger or consolidation with another foreign entity, the entity must deliver to the Alabama Secretary of State for filing this form along with the duly certified copy of the certificate/statement of merger filed in the jurisdiction(s) where the entities were formed.

How long does State of Alabama take to process the statement of merger?

State of Alabama generally takes five to seven working days to process the application.
