States Allowed Article of Domestication and Conversion!
 

A List of the states where you can move company from one state to another state or domesticate the entity

 

  • Arizona allows the domestication
  • California (LLCs are Allowed whereas the Corporations are not)
  • State of Connecticut (Allow)
  • Delaware (Allow)
  • Wyoming (Allow)
  • Nevada (Allow)
  • New York (Does not allow)
  • Hawaii (Allowed)
  • South Dakota (Allow)
  • State of Alaska (Allow)
  • State of New Jersey (Allowed to LLCs but not Corporations)
  • State of Illinois (Allow)
  • State of Louisiana (Allow)
  • State of Florida (Allow)
  • State of Pennsylvania (Transfer then Domesticate)
  • State of OH ( State of Ohio allows domestication or conversion form one state to another but shows the new filing date )
  • State of Minnesota (Not Allow)
  • State of Texas (Allow)
  • State of Idaho (Allow)
  • State of Utah (Allow)
  • State of Iowa (Allow)
  • State of Indiana (Allow)
  • State of Nebraska (Yes, for both corporations and LLC's.)
  • State of Massachusetts-State of MA allows domestication for Corporations only, not to an LLC.
  • State of Rhode Island (Not Allow)
  • State of Mississippi-If you want to move an existing company here in the state of Mississippi from another state, you must file a new entity here and merge them together.
  • Yes, Virginia does have a process for a foreign business entity to domesticate in Virginia and for a Virginia entity to surrender it Virginia charter/certificate because it is domesticating in another state.
  • State of Tennessee-Not Allow
  • State of Oregon-Oregon does not have a process for re-domestication, other than withdrawing and filing new.
  • State of Colorado-unless you are referring to an entity which has converted to a foreign entity and wants to convert back to a domestic entity. There is an option to do so within the existing record.
  • State of Maine-Foreign Corporation may Domestic to a Maine Corporation
  • The state of Oregon- It does allow the domestication in and out both.
  • State of Kentucky-A foreign entity can file an amended application for certificate of authority to change the domicile of organization for the entity.
  • State of North Dakota- It allows the domestication
  • State of Michigan-It allows the domestication.  (But the date is not transferable)
  • State of North Carolina- Allow  (It is called articles of conversion in the state of NC)
  • State of Missouri-Not Allowed
  • State of Maryland- Does allow to move out, whereas it does not allow to move in from another state.
  • State of Georgia- It allows the domestication
  • State of Kansas-Not Allowed (If you are a foreign entity in the state of KS yes, then it can be done)
  • State of Arkansas-It allows the domestication
  • State of Montana-It allows the domestication
  • State of Oklahoma-Not Allowed
  • State of West Virginia-Not Allowed
  • State of Washington-It allows the domestication
  • South Carolina (L.L.C is not allowed whereas a corporation is a applicable)
  • State of Louisiana does allow domestication of a corporation or an LLC.

States That Support Partial Conversions
Following states support conversion of Corporation to LLC only:

* Alaska corporation can only be converted to an LLC only if the corporation is a subsidiary of another corporation

  • Arizona (Not Allowed)

  • Delaware (Allowed)
  • Wyoming (Allowed)
  • Nevada (Allowed)
  • New York (Not Allowed)
  • Hawaii (Allowed)

  • State of Michigan (Allowed)
  • State of Illinois ( State of Illinois does allow a conversion from corporation to an LLC or Vice Versa)
  • State of Florida (Allowed)
  • State of Pennsylvania (Not Allowed)
  • State of OH (Ohio does have a provision for converting limited liability companies to corporation and vice-versa)
  • State of Minnesota allows the conversion
  • State of Texas allows the conversion
  • State of Idaho allows the conversion
  • State of Utah allows the conversion
  • State of Iowa allows the conversion
  • State of Indiana allows the conversion
  • State of Nebraska (Does allow the conversion from a corporation to an LLC and vice-versa)
  • State of Massachusetts-Yes, there a domestication form.
  • State of Rhode Island (Yes, a Conversion could be filed if at least one of the converting entities is a Rhode Island entity)
  • State of Mississippi-does not have a conversion statute to allow a corporation to become an LLC and vice-versa.
  • State of Virginia (Yes, Virginia law does have a conversion process for an LLC to become a corporation or a corporation to become an LL)
  • State of Tennessee allows the domestication
  • State of Oregon - LLC can convert into another entity such as a corporation, and vice versa.
  • State of Colorado-There is a filing option on an existing reporting entity record to convert to another form of entity. There is also a filing option to convert an entity that does not currently have a filing with us.
  • State of Maine-Maine Business Corporation may convert to a Maine LLC and vice versa.
  • State of Oregon-A (LLC can convert into another entity such as a corporation, and vice versa.)
  • State of Kentucky (statutes allow a corporation to convert into a LLC however a LLC cannot convert into a corporation).
  • State of North Dakota (Allowed)
  • State of Michigan - The Limited Liability Company Act and the Corporation Act allow for converting one business entity into another. Currently, no document exists to convert a corporation into a limited liability company. Each individual that wishes to convert one business organization into another type of business organization would need to draft their own Certificate of Conversion that conforms to the applicable statutes. In addition, the formation documents are required to be submitted with the Certificate of Conversion. Each statute in their prospective Acts provides for the fees to file the documents.

  • District of Columbia (DC)-Articles of conversion is not allowed
